Terms of Service

1. Acceptance of Terms
By accessing or using GuardSync services, including our guard monitoring platform, website, mobile applications, and 4G tracking devices (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and GuardSync (Pty) Ltd ("GuardSync", "we", "us", or "our").
If you are using the Services on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.
2. Description of Services
GuardSync provides:
- 4G-connected guard tracking wearables
- Real-time GPS location monitoring
- Heart rate and biometric monitoring
- AI-powered shift scoring and analytics
- Panic/SOS alert functionality
- Patrol route tracking and checkpoint verification
- Cloud-based management dashboard
3. Subscription and Payment
3.1 Subscription Model
GuardSync operates on a per-guard subscription model. The subscription fee includes the provision of 4G tracking wearable hardware, cloud platform access, and ongoing software updates.
3.2 Hardware Provision
Tracking devices remain the property of GuardSync and are provided as part of the subscription service. Devices must be returned upon termination of service.
3.3 SIM Card and Data
The client is responsible for providing and maintaining active SIM cards with sufficient data plans for device connectivity. GuardSync is not responsible for service interruptions due to SIM card or network issues.
3.4 Payment Terms
Subscription fees are billed monthly in advance. Failure to pay within 30 days may result in service suspension. All fees are quoted in South African Rand (ZAR) unless otherwise specified.
4. User Responsibilities
As a user of GuardSync Services, you agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Ensure guards are properly informed about monitoring activities
- Use the Services in compliance with all applicable laws
- Not misuse, tamper with, or damage tracking devices
- Obtain necessary consents from employees for data collection
- Not use the Services for illegal surveillance or harassment
5. Acceptable Use
You may not use GuardSync Services to:
- Track individuals without their knowledge and consent
- Violate any applicable privacy or employment laws
- Interfere with or disrupt the Services or servers
- Attempt to gain unauthorised access to any systems
- Transmit malicious code or harmful content
- Resell or redistribute the Services without authorisation
6. Data and Privacy
Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. You acknowledge that:
- Location and biometric data will be collected from tracked guards
- Data may be stored on servers outside South Africa
- You are responsible for obtaining employee consent where required
- We may use aggregated, anonymised data for service improvement
7. Intellectual Property
All intellectual property rights in the Services, including software, designs, trademarks, and content, remain the exclusive property of Sentient IOT (Pty) Ltd. You are granted a limited, non-exclusive, non-transferable licence to use the Services during your subscription period.
8. Service Availability
While we strive to provide 99.9% uptime, we do not guarantee uninterrupted availability of the Services. The Services may be unavailable due to:
- Scheduled maintenance (with reasonable notice)
- Emergency repairs or updates
- Factors beyond our control (network outages, force majeure)
- SIM card or cellular network issues
9. Limitation of Liability
To the maximum extent permitted by law:
- GuardSync shall not be liable for any indirect, incidental, special, or consequential damages
- Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
- We are not liable for damages arising from SOS alert failures due to network or device issues
- We do not guarantee the accuracy of GPS location data
Important: GuardSync is a monitoring tool and does not replace professional security services or emergency response systems.
10. Indemnification
You agree to indemnify and hold harmless GuardSync, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.
11. Termination
Either party may terminate the subscription with 30 days written notice. GuardSync may immediately terminate or suspend your access if you:
- Breach these Terms
- Fail to pay subscription fees
- Use the Services for illegal purposes
- Damage or fail to return tracking devices
Upon termination, all tracking devices must be returned within 14 days. Unreturned devices may be charged at replacement cost.
12. Governing Law and Disputes
These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa. Before initiating legal proceedings, parties agree to attempt resolution through good-faith negotiation.
13. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the platform with at least 30 days notice. Continued use of the Services after changes become effective constitutes acceptance of the modified Terms.
